the parties agree to enter into a confidential relationship with respect to the disclosure of certain proprietary and confidential information (“confidential information”). nothing contained in this agreement shall be deemed to constitute either party a partner, joint venturer or employee of the other party for any purpose. this right of disclosing party is to be in addition to the remedies otherwise available to disclosing party. this clause makes clear that the secrets must be kept in confidence by the receiving party and may not be revealed to others without prior written consent.
