“order” means a box quote order or other ordering document agreed to in writing by the parties under this agreement or by customer and a box authorised reseller, which is accepted and provisioned by box as set forth in section 2.2. during the term, box may from time to time provide customer with the right to obtain access for additional users, or features and functionality available in the next level of the box service plan i.e. the customer may lose access to the content during any period of suspension and box shall not be liable for any of its service level commitment that are affected by such suspension. customer will immediately notify box in writing of any unauthorised use of any account, content or the box service that comes to customer’s attention. no title to or ownership of any proprietary rights related to the box service is transferred to customer or any end user pursuant to this agreement or any transaction contemplated by this agreement. in the event that the parties mutually agree in writing to any extension of a subscription period or the provisioning of a box service plan upgrade, customer will pay box the then-current list price for such extension or box service plan upgrade, unless otherwise set forth in the applicable order. for the avoidance of doubt, any discounts offered by box to customer during a prior subscription period will not apply during any new or renewal subscription period unless specifically agreed-to in writing by the parties.

customer will, with respect to any claim against box, indemnify box for the resulting costs and damages finally awarded against box to such third party by a court of competent jurisdiction or agreed to in settlement. neither party will disclose confidential information in violation of the terms and conditions of this agreement, to any third party, without the prior written consent of the other party. notwithstanding the foregoing, box may, during the term, reference customer as a box customer or user of the box service subject to customer’s trademark and logo usage guidelines as provided to box. box will provide customer with access to storage on box servers connected to the internet subject to the terms and conditions of the agreement. commencing on the effective date of the applicable subscription period, box will provide to customer the service level commitments and support services defined herein as specified in the applicable order. the customer core group will: any issues reported by customer to box and accepted by the box support team will be classified as an issue or a request and assigned a priority. provided that customer: (a) has purchased premier support, (b) has opened a support ticket for an issue, and (c) box fails to meet the response times for level 1 and level 2 support tickets three times during the given month, box will provide to customer a premier support credit of 15% of the fees paid to box by customer for the premier support service that are attributable to such month (calculated on a straight line pro-rated basis with respect to any fees paid in advance).

“agreement” means the contract signed by licensor and enterprise customer upon creation of account, alternatively referred to as enterprise license agreement. each account and subaccount will be associated with a unique storage solution that will facilitate the management and use of the box solution by the authorized user, as described below. enterprise customer may elect to add additional storage capacity for all authorized users of the box solution in standard blocks specified by the agreement. enterprise customer acknowledges that the licensed products and any other materials furnished to enterprise customer by licensor include valuable proprietary rights and confidential information of licensor. in addition, enterprise customer will pay licensor any additional fees for upgrades to the licensed products that may be elected by enterprise customer from time to time, at the rates set forth in the agreement. licensor represents and warrants to enterprise customer that the licensed products will perform in all material respects in accordance with the applicable specifications and documentation provided from time to time by licensor. no title to or ownership of the any proprietary rights of licensor are transferred or, expect as specifically set forth herein, licensed to enterprise customer under this agreement.

licensor will provide support services to assist enterprise customer in the setup, configuration and use of the licensed products via internet and telephone during licensor’s regular business hours. if any provisions of this agreement shall be conclusively determined by a court of competent jurisdiction to be invalid or unenforceable to any extent, the remainder of this agreement shall not be affected thereby but shall remain in full force and effect. box does not own any data, information or material that you store in your account, and takes no responsibility whatsoever for the contents of your account. box reserves the right to terminate without notice your password, account or use of box service and delete any data within box service if you fail to comply with this agreement or for cause of any other nature. box reserves the right to amend the terms and conditions of this agreement at any time and shall notify you by sending you an email message. this exhibit details the levels of service that have been agreed to between customer and box for the provision of services as shown within the agreement. upon acceptance, the services will be available to customer for 99.9% of all scheduled available time calculated on a monthly basis and excluding scheduled and recurring downtime as defined below, or circumstances beyond reasonable control. any and all refunds or multiple refunds in a month to customer will not exceed 100% of the customer’s recurring monthly fees for the month in which the refund is paid.
